Terms and Conditions of Use

These Terms and Conditions of Use (the “Terms”) govern your access to and use of the Maam mobile application, Maam websites, MarIA, chats, community features and related services (together, the “Services”).

By creating an account or using the Services, you confirm that you have read and agree to these Terms. Our Privacy Policy explains how we process personal information and forms part of the framework governing your use of Maam.

If you do not agree to these Terms, do not create an account or use Maam.

1. Eligibility — Maam is for People Aged 18 and Over Only

You must be at least 18 years old to create an account or use Maam.

By registering, you represent and warrant that you are aged 18 or over.

Maam is not intended for anyone under 18. If we reasonably believe that an account belongs to a person under 18, we may suspend or close it and take appropriate action regarding the associated data.

There is no parental or guardian-consent exception: a person under 18 may not use Maam.

2. Your Account

You must create an account to use certain features.

You agree to:

  • provide accurate and reasonably current information;
  • not impersonate another person;
  • keep your credentials secure and not knowingly allow unauthorised access to your account; and
  • notify us at info@maam.ai if you believe your account has been compromised.

You are responsible for activity carried out through your account except to the extent that the activity results from an act of Nuup or another circumstance for which you cannot legally be held responsible.

We may require reasonable identity, security or age-verification measures.

3. In-App Notices and Acknowledgements

During registration, Maam informs you that by registering you accept these Terms and acknowledge the Privacy Policy.

After signup, Maam may display additional notices requiring an affirmative action before you use particular features. These currently include:

  • a first-use App notice; and
  • a separate notice before your first use of MarIA.

These notices supplement these Terms and the Privacy Policy. Where the law requires specific consent for particular processing or functionality, we may request a separate acknowledgement or consent.

4. What Maam Is

Maam is a social and community-support platform aimed primarily at Spanish-speaking mothers.

The Services may include:

  • user profiles;
  • threads, posts, comments and reactions;
  • follow, blocking and reporting functions;
  • messaging and chats;
  • notifications;
  • content shared by other users;
  • MarIA, an artificial-intelligence assistant; and
  • search, recommendation, classification, moderation, analytics and attribution features.

We may add, modify, withdraw or experiment with features subject to our legal obligations.

5. User Content

5.1 Your content remains yours

You retain any rights you have in text, images, files, messages and other content that you post, upload, send or share through Maam (“User Content”).

5.2 Licence you grant us

By providing User Content through Maam, you grant Nuup a worldwide, non-exclusive, royalty-free and sublicensable licence solely to the extent reasonably necessary to:

  • host, store, reproduce and display the content;
  • transmit it to the people for whom it is intended;
  • create technical copies, thumbnails or other formats needed to operate the Services;
  • moderate, protect, maintain, improve and develop Maam;
  • investigate reports, abuse or breaches; and
  • comply with legal obligations.

This licence lasts for as long as reasonably necessary for those purposes. When you delete content or your account, we will cease ordinary service use of it, subject to copies already shared by others, moderation records, backups and legal retention described in our Privacy Policy.

We do not take ownership of your User Content.

5.3 Your responsibility for content

You are responsible for what you share and must have the rights, permissions or lawful basis needed to do so.

Do not post another person’s personal or sensitive information without a legitimate reason or appropriate authority. Take particular care with information identifying children.

6. Anonymous Posting

Some features may let you publish using an alias or an anonymous identity as seen by other users.

“Anonymous” does not mean anonymous to Nuup. Maam may retain the link between an anonymous post and the account that created it in order to operate the service, prevent abuse, investigate reports, moderate content, protect users and comply with law.

Do not use anonymity to harass, threaten, deceive, defame, impersonate, evade moderation or breach these Terms.

7. Conduct and Prohibited Content

You must not use Maam to create, upload, send, promote or facilitate content or conduct that:

  • is illegal or promotes illegal activity;
  • sexually exploits children or depicts child sexual abuse;
  • credibly threatens violence or facilitates serious harm;
  • constitutes serious harassment, stalking, abuse or intimidation;
  • promotes unlawful hatred or violence against people or groups;
  • is fraudulent, deceptive, manipulative or intended to scam others;
  • infringes intellectual-property, privacy, confidentiality or other rights;
  • contains malware, malicious code or attempts to compromise systems or accounts;
  • involves spam, abusive automation, unauthorised scraping or manipulation of the Services;
  • maliciously exposes another person’s personal information;
  • impersonates another person or organisation;
  • circumvents blocks, suspensions, security controls or moderation measures; or
  • otherwise breaches these Terms, our community rules or applicable law.

We may establish additional community rules and enforce them as part of these Terms.

8. Moderation, Reporting and Safety

Maam provides tools to report content, messages or accounts and to block other users.

We may use a combination of:

  • user reports;
  • automated systems;
  • artificial-intelligence classification or assistance; and
  • human review

to detect, prioritise, investigate and manage content or behaviour that may be harmful, illegal or contrary to these Terms.

When we become aware of content that we reasonably consider illegal or contrary to our rules, we may take proportionate action, including:

  • reducing its visibility;
  • hiding or removing it;
  • restricting particular functions;
  • warning a user;
  • suspending or closing an account;
  • preserving relevant information; or
  • where legally appropriate, reporting matters to competent authorities.

We do not guarantee that we can identify or immediately remove every piece of problematic content.

You may report content using the tools available in Maam. For moderation-related questions or complaints, you may also contact info@maam.ai.

9. MarIA and AI-Generated Content

MarIA is an artificial-intelligence assistant. Its responses are generated by automated systems, not by a doctor, therapist or other human professional.

MarIA is designed to provide general information, conversational guidance and support, but:

  • it can make mistakes;
  • it may produce incomplete, outdated or inaccurate information;
  • it may misunderstand what you write; and
  • it cannot assess every relevant circumstance of a real-world situation.

MarIA does not provide medical advice

Maam and MarIA are not medical, diagnostic, therapeutic or emergency services.

Nothing generated by MarIA or posted by another Maam user should replace diagnosis, treatment or advice from a qualified healthcare professional.

For concerns about your health, your child’s health or another person’s health, consult an appropriate healthcare professional.

In an emergency or where there is an immediate risk of serious harm, do not rely on Maam or MarIA. Contact your local emergency services or appropriate professional services immediately.

Information you provide to MarIA

What you write to MarIA may contain personal or sensitive information, including health information. The processing of that information is explained in our Privacy Policy and in specific notices shown when you use MarIA.

10. Information Shared by Other Users

Maam is a community. Nuup does not create, verify or pre-approve all content posted by users.

Opinions, experiences and recommendations posted by other people are the responsibility of the people posting them and may be inaccurate, incomplete or inappropriate for your circumstances.

You should not treat content posted by other users as medical, legal, financial or other professional advice.

11. Chats and User-to-User Communications

Chat features let you communicate with other users.

You must not use chats for conduct prohibited by these Terms. We may take action regarding reported accounts or messages and process information needed for safety, moderation and compliance as described in our Privacy Policy.

We do not guarantee that another user is who they claim to be or that information they provide is accurate.

12. Maam Intellectual Property

Except for User Content and third-party material, Nuup and its licensors retain all rights in the Services, including software, code, design, trademarks, logos, graphics, proprietary text, databases and other protected elements.

We grant you a limited, personal, revocable, non-exclusive, non-sublicensable and non-transferable licence to use Maam for personal, non-commercial purposes in accordance with these Terms.

You may not copy, sell, sublicense, distribute, modify, reverse engineer or commercially exploit the Services except where the law expressly permits it or Nuup gives written permission.

13. Third-Party Services and Providers

Maam uses third-party services to operate certain functions, including cloud infrastructure, authentication, messaging, artificial intelligence, analytics, attribution and notifications.

Related personal-data processing is described in our Privacy Policy.

Maam may also link to external services. Nuup does not control and is not responsible for external services that you use directly, and those services may be governed by their own terms.

14. Availability and Changes to the Services

We work to keep Maam available, but do not promise that the Services will be uninterrupted, error-free or available at all times.

We may perform maintenance, fix problems, introduce improvements, change functionality or withdraw features.

Where a change materially affects users’ contractual rights, we will provide any notice required by applicable law.

15. Suspension and Termination by Nuup

We may restrict, suspend or close an account where reasonably necessary, including where:

  • you breach these Terms;
  • we reasonably believe you are under 18;
  • you use Maam unlawfully, abusively or fraudulently;
  • your conduct creates a risk to others, Nuup or the Services;
  • you attempt to evade a suspension, block or security measure;
  • we must do so to comply with law; or
  • it is reasonably necessary to protect Maam’s integrity or security.

Where appropriate and legally possible, we may provide an explanation or complaint mechanism.

We may act immediately without prior notice where reasonably necessary to prevent harm, fraud, abuse, security risk or legal non-compliance.

16. Ending Use and Account Deletion by You

You may stop using Maam at any time.

You may initiate account deletion from the App. The in-app process may initially disable or soft-delete the account so that it is removed from ordinary service use.

You may also request complete deletion of your personal information from our active backend systems by contacting info@maam.ai. This complete deletion may require a manual process by our team.

Deletion is subject to the legitimate exceptions and retention periods described in the Privacy Policy, including backups, security, fraud prevention, moderation, legal claims and legal obligations.

17. Disclaimers and Warranties

Maam is provided to facilitate a social community, communications and informational tools.

To the fullest extent permitted by law, the Services are provided “as is” and “as available”.

We do not guarantee:

  • uninterrupted availability;
  • that all user-generated or AI-generated content will be accurate, complete or reliable;
  • that every user will behave appropriately;
  • that we will immediately detect every abusive or unlawful item; or
  • that the Services will meet every particular need you may have.

Nothing in these Terms excludes any guarantee, right or remedy that applicable law does not permit us to exclude.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence where it cannot be excluded, fraud, fraudulent misrepresentation or any other liability that law prohibits us from limiting.

Subject to the above and to the fullest extent permitted by law, Nuup will not be responsible for indirect or consequential losses that were not reasonably foreseeable when you accepted these Terms.

Maam is primarily a consumer service for personal use. We are not responsible for business losses, loss of profit, lost business opportunities or business interruption arising from personal use of Maam.

Nothing in this section affects mandatory consumer rights.

19. Responsibility for Deliberately Unlawful or Infringing Use

To the extent permitted by applicable law, you will be responsible to Nuup for reasonable losses, liabilities or costs directly caused by your deliberately unlawful, fraudulent or infringing conduct, including posting content for which you do not have the necessary rights.

This section does not require a consumer to compensate Nuup for losses caused by Nuup and does not limit rights that cannot legally be waived.

20. Changes to These Terms

We may update these Terms when the Services, our operations or applicable legal requirements change.

Where changes are material, we will provide reasonable notice through the App, email, our website or another appropriate channel where required by law.

If a change requires renewed acceptance, we may ask you to accept the updated Terms before continuing to use the Services.

The “Last Updated” date identifies the current version.

21. Privacy Policy

Our Privacy Policy explains what personal information we collect, how we use it, who we share it with, international transfers, retention and your rights.

It forms part of the framework governing your relationship with Nuup and is available within Maam and through our official channels.

22. Governing Law and Exclusive Jurisdiction

Maam is operated by Nuup Ltd, a company incorporated in England and Wales.

To the fullest extent permitted by applicable law, these Terms, your use of Maam and any contractual or civil dispute, claim or proceeding arising out of or relating to Maam, the Services or your relationship with Nuup Ltd are governed by the laws of England and Wales and are subject to the exclusive jurisdiction of the courts of England and Wales.

By creating an account or using Maam, you expressly agree to this choice of law and exclusive jurisdiction.

If you do not agree to contractual and civil disputes with Nuup Ltd being handled in England and Wales, do not create an account or use Maam.

This choice does not exclude a statutory right, regulatory complaint procedure or jurisdiction that applicable law expressly makes non-waivable. This exception does not change the parties’ agreement that contractual and civil disputes with Nuup Ltd are, to the fullest extent legally permitted, to be resolved exclusively in England and Wales.

23. General Terms

If any provision of these Terms is found invalid or unenforceable, it will be interpreted or limited to the minimum extent necessary and the remaining provisions will continue in effect.

Nuup’s failure to enforce a provision immediately does not waive it.

You may not transfer your account or your rights under these Terms to another person without our consent. Nuup may transfer these Terms as part of a reorganisation, financing, merger, acquisition or transfer of the Services, subject to applicable law.

These Terms, together with the Privacy Policy and any feature-specific notice or condition, form the applicable agreement between you and Nuup regarding your use of Maam, without prejudice to rights that cannot legally be excluded.
